Terms of Use for Knockers

Welcome to our Terms of Use and thank you for choosing visuEats Imagery Solutions, Inc. (“visuEats”).
We’re thrilled to collaborate with you to bring joy to our customers through our delivery platform (“visuKnock”). Prior to beginning deliveries, please review these terms of use attentively.
“visuEats,” “we,” “us,” and “our” mean visuEats Imagery Solutions Inc., a Florida corporation, and its subsidiary visuEats Limited, a Jamaica limited liability company. visuEats owns and operates visuKnock, and the related the visuEats’ websites, mobile sites, platforms, and applications (collectively, “Sites”). These Terms of Use, Terms, or Conditions and the independent contractor Agreement (collectively “Agreement”) constitute a legal and binding agreement between you and visuEats.
Part 1: Acceptance of this Agreement
This Agreement applies to your access or use of the visuKnock application made available by visuEats. The terms “User”, “Knocker” and “you” mean any user of visuKnock.
By accessing visuKnock or by clicking “accept” or “agree” to this Agreement, you agree to be bound by and comply with this Agreement. You also acknowledge that you have read, understood, and agreed to be bound by this Agreement, and you represent and warrant that you are of legal age and not prohibited by law from accessing or using visuKnock.
You also agree that you will review this Agreement periodically because from time to time, visuEats may update or revise this Agreement including our Privacy Policy. If at any time you do not agree with this Agreement, our Privacy Policy, or the updated Agreement, you must immediately stop using visuKnock.
Part 2: Eligibility
You must meet visuEats’ eligibility criteria to become a Knocker:
- You must be 18 years or older to sign up to utilise visuKnock.
- You must have legal authorization to work in the country of operation.
- You must have a reliable vehicle such as a car, motorcycle, bicycle, or scooter, depending on your designated delivery area.
- You must be in possession of a valid tax identification (ID) number, photo ID, driver’s license, vehicle insurance and vehicle registration.
- You must have a functional smartphone device to use and navigate visuKnock’s mobile app for accepting orders, navigation, communication, and updating order statuses.
- You must have a reasonable level of physical fitness to operate your vehicle and complete your delivery orders.
- You must complete all the required fields in the onboarding process and provide all required documentation.
- You must keep all your documentation current on visuKnock.
- You must have a valid and current Lynk ID that is assigned to you.
Part 3: Delivery Services
visuKnock allows Knockers to view order requests for delivery from local restaurants, stores, and other merchants (collectively, “Merchants”). Knockers must use visuKnock for managing delivery assignments. Any misuse or unauthorized access to the platform is strictly prohibited.
By accessing visuKnock, you are responsible to indicate your availability; accept or reject orders; indicate status of each order during the delivery fulfillment process; communicate with the Merchants and customers; view the transaction log for those orders you have fulfilled; and manage your account.
3.1 Delivery Process
Orders will be placed for delivery through visuEats by participating Merchants’ customers (“customers”). These orders will automatically transfer to visuKnock for assignment to an available pool of Knockers. The first Knocker to accept the order will be assigned the order for delivery.
We will facilitate the delivery of orders to the designated delivery location based on the Knocker’s preselected zones. Knockers can only access orders for Merchants that are assigned to their selected zones.
Knockers are expected to uphold high standards of professionalism, timeliness, and customer service while making deliveries for visuEats. This includes but not limited to delivering orders accurately and promptly.
3.2 Delivery Commissions
During your onboarding on the visuKnock platform, you will be asked to enter your Lynk ID. To use visuKnock, you must provide your valid Lynk ID information. When you provide your Lynk ID through visuKnock, you give visuEats permission to access and validate your credentials. You give visuEats permission to share your Lynk details with a third-party processor to process your payouts accordingly. visuEats holds no liability for any errors or fees incurred by these processors or financial institutions.
All commissions earned for each delivery, including tips will be disbursed via visuKnock to your valid Lynk account on a weekly cadence.
Delivery commissions are charged at a flat rate, starting as low as $467.50 JMD per delivery order and may increase or decrease based on the distance between the Merchant’s address and the customers’ delivery address plus the time of day the delivery should be executed. The delivery commissions will be compensated as follows:

3.3 Quality of Service Standards
The Merchants, customers and Knockers experience is paramount to visuEats success. As such, the Merchants and customers expect a high quality experience when using visuEats. As a Knocker, you agree to maintain a certain level of quality of service in order to garner and maintain a 4 stars or higher rating on visuKnock.
visuEats reserves the right to deactivate your access to visuKnock if your service falls below the industry standard as determined by visuEats in its good faith discretion. This includes, but is not limited to:
- Indicating that you have delivered an order or orders when you have not.
- Failing to complete an order or orders that you accepted.
- Activities that result in repeated and/or serious complaint(s) from Merchants and/or customers who report your delivery services as incomplete, unsafe, unprofessional, or otherwise in violation of visuEats standards or violates the policies noted in the visuKnock handbook or harmful to visuEats reputation.
Your access to visuKnock might be disabled if visuEats, in its reasonable discretion and good faith, determines that you have significantly breached these Quality of Service standards.
3.4 Cancellation
You will not accept orders offered through visuKnock that you do not intend to deliver as there are no option to cancel a previously accepted order.
Part 4: Knockers
4.1 Communication
When you utilize visuKnock, visuEats, Merchants, customers or respective third party partners may contact you through email, phone calls, push notifications, or other electronic messages, adhering to our Privacy Policy.
The communication may be for the following purposes: (i) to provide notifications related to visuKnock and related promotional activities; (ii) to facilitate scheduling; (iii) in relation to the delivery fulfillment process; and (iv) to address issues as they arise.
You understand that standard voice, data and message rates will apply for all forms of communication and you will need to contact your mobile phone carrier for details. You may disable or enable how you prefer to be connected via visuKnock or any applicable unsubscription option shared via email, text or alike.
You agree to be professional at all times in all communications with any Merchant or customer. Additionally, you agree to follow the standards of conduct noted in the visuKnock handbook, and any additional standards that may be communicated to you from time to time.
visuEats may monitor any and all use of visuKnock, and if any conduct on or outside of viuKnock violates the visuKnock handbook, or any other terms and conditions of this Agreement; or interferes with other people’s enjoyment of visuKnock or the Sites; or that we believe is inappropriate; in our sole, good faith judgment, we reserve the right to terminate your access to visuKnock.
visuEats will cooperate with all levels of authorities to the extent required by applicable law in connection with any communication.
4.2 Registered Users
You must create an account (“Registered Users”) to receive information about our Sites and to process delivery services for any Merchant and customers through visuKnock. You affirm and guarantee that the details you furnish to visuEats about yourself during registration and consistently thereafter will be truthful, precise, current, and complete. Furthermore, you commit to promptly maintaining the accuracy and currency of this information continuously.
It’s prohibited to share your account details or grant access to our Sites to any third party. You bear responsibility for all activities under your login credentials. Should you suspect unauthorized access or compromise of your credentials, promptly notify visuEats at visuKnock@visuEats.com. You agree to hold sole responsibility for any losses incurred by you, visuEats, Merchants, customers or others (including fellow users) due to unauthorized account usage.
By using visuKnock, you grant visuEats permission to access, retain, and divulge your account information and any content provided by you, if required to do so by law or if there is a genuine belief, that such access, retention, or disclosure is reasonably necessary for the benefit of visuEats, Merchants, or customers, to: (i) adhere to legal procedures; (ii) enforce this Agreement; (iii) address a claim that any user generated information breaches the rights of third parties; (iv) respond to your inquiries; or (v) investigate or safeguard the rights, business interests, assets, or personal safety of visuEats, its users, Merchants, customers, and the general public. 4.3 Technical Requirements
Accessing and using visuKnock requires an internet connection via your mobile device. You are responsible for all mobile carrier data or electronic message charges resulting from your use of visuKnock.
To utilize our text message-based services, you must have an active account with a carrier that offers electronic communications via mobile devices. To utilize our WhatsApp message-based services, you must have an active WhatsApp account.
visuEats cannot ensure that visuKnock will be compatible with all devices or supported by all mobile carriers. It may be necessary to enable JavaScript (or similar technologies) to use visuKnock and visuKnock may be inaccessible if JavaScript is disabled.
4.5 Restrictions
viusKnock is provided solely for your business use, and you agree not to use visuKnock for any unlawful purpose or in any manner that could harm, damage, or disparage any other party. Any other uses other than accepting, processing and completing your delivery orders are strictly prohibited.
visuEats at its sole discretion reserves the right to refuse service, terminate Registered Users, alter, delete, cancel visuKnock, or limit access to visuKnock with or without notice.
You agree not to do or attempt to:
- Partake in behavior that includes threats, harassment, abuse, slander, defamation, or any other activities that violate the legal rights, including private and public rights, of the Merchants, customers or other users.
- Impersonate another person or fabricate your identity or provide any misleading information when utilizing visuKnock including but not limited to onboarding on visuKnock and/or processing delivery order.
- Falsely report your geographic location or prevent or otherwise attempt to prevent visuKnock from accurately reporting your geographic location.
- Deliver alcohol unless you and the alcohol recipient are 18 or older, and you have verified the recipient’s name and age using a valid photo identification at the time of alcohol delivery.
- Disseminate information publicly regarding the performance, access or use of visuKnock for competitive analysis or benchmarking purposes.
- Enclose or frame any visuEats’ trademark or any part of the Sites within any other website or service for any purposes without obtaining our explicit written permission.
- Use visuKnock or Sites in a way that violates any federal, state, or local laws, regulations, or the rights of any third party. Acquire, share, process, or otherwise handle personal data of any party in a manner inconsistent with laws or frameworks governing personal data or the terms specified in this Agreement.
- Send or upload any content containing viruses, Trojan horses, worms, time bombs, cancelbots, or any other harmful or damaging software programs or interfere with or disrupt visuKnock or Sites, networks or servers connected to visuKnock or Sites or violate the regulations, policies or procedures of such networks or servers.
- Employ any robot, spider, scraper, or other automated mechanisms to access or scrape the Service, unless it’s conducted by legitimate search engines periodically indexing the Service as part of their general process of indexing internet sites and services.
- Replicate, duplicate, copy, sell, trade, resell, distribute, or exploit any portion of visuKnock or Sites, the use, access to, or content acquired through visuKnock or Sites for any purpose other than fulfilling delivery orders and processing your payouts.
- Reverse engineer, decompile, disassemble, or otherwise attempt to access the source code or non-public APIs of visuKnock or Sites, unless expressly allowed by applicable law and even then, only after giving advance notice to visuEats.
- Use any information obtained from visuKnock (apart from authorized use of visuKnock) in order to contact, solicit, or buy or sell any products or services to anyone, including but not limited to any Merchant, customer or user.
- Copy or republish any content, including, but not limited to Merchants’ and customers’ and transaction logs.
- License, sell and/or otherwise provide access to and/or use of your Registered User or visuKnock to any third party, including without limitation to build a competitive product and/or service.
- Harass, annoy, intimidate or threaten any visuEats’ employees or agents.
- Contact any Merchants, customers or users beyond what is necessary to fulfill your delivery orders, unless the Merchant(s), customer(s) or user(s) expressly consents to such contact.
- Use visuKnock for any illegal purposes.
4.6 Indemnity
Knockers will be solely responsible for any injury or death suffered by any person (including the Knocker, Merchant and customer) and any damage to any third party’s property. Knockers agree to indemnify, defend, and hold harmless visuEats, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to their breach of these terms, negligence, or violation of any applicable laws or regulations.
4.7 Termination
visuEats reserves the right to suspend or terminate your access to visuKnock and Sites, either partially or entirely, without prior notice or explanation. This may happen if visuEats suspects you’ve breached any part of this Agreement (including any visuEats’ policies). Following such suspension or termination, you may or may not be allowed to continue using visuKnock or Sites or create a new account. You acknowledge that visuEats holds no responsibility for any consequences arising from the termination of this Agreement. You have the option to discontinue your use of visuKnock at any time.
Please be aware that deleting your account will result in the deletion of any stored content, for which visuEats assumes no liability whatsoever.
Part 5: General Terms
5.1 Modification of Services
visuEats maintains the sole discretion to periodically adjust visuKnock and Sites without notice. This encompasses, but is not restricted to, adding, and removing Merchants or customers, the deletion, addition, or modification of visuKnock or Sites that might impact its overall functionality. visuEats assumes no liability for these adjustments. If you object to any changes, your sole recourse is to cease using visuKnock. Continued use of visuKnock after any adjustments implies your acceptance of the changes and satisfaction with all aspects of visuKnock.
5.2 Intellectual Property Rights and Ownership
The visual interfaces, graphics, videos, data, text, design, compilation, information, computer code, products, software (including any downloadable software), services, and all other aspects of visuKnock and Sites (“visuEats Content”) are safeguarded by both United States, Jamaica and international regulations pertaining to copyright, trade dress, patent, trademark, and other pertinent intellectual property and proprietary rights. All visuEats Content is the copyrighted property of visuEats or its subsidiaries or affiliated companies and/or licensors. The visuEats Content may be modified from time to time by visuEats in its sole discretion. Except as expressly set forth herein, no license is granted to any user for any other purpose, and any other use of visuKnock, Sites or visuEats Content by user shall constitute a material breach of this Agreement. visuEats and its partners or licensors retain all rights in visuKnock, the Sites and visuEats Content and any associated patents, trademarks, copyrights, mask work rights, trade secrets, or other intellectual property rights. No license, right, or interest in any trademarks of visuEats or any third party is granted under this Agreement.
5.3 Third Party Websites, Applications and Content
visuKnock and Sites may contain links to third party websites (“Third Party Websites”) and applications (“Third Party Applications”) and, collectively with Third Party Websites, (“Third Party Content”). Clicking on a link to Third Party Content won’t trigger a warning indicating that you’ve left visuKnock and are now subject to the terms and conditions (including privacy policies) of another website or destination. Such Third Party Content are not under the control of visuEats, and visuEats is not responsible for such content. visuEats provides Third Party Content only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third Party Content. You use all Third Party Content at your own risk. Before engaging in any transactions with third parties, it’s essential to review the relevant terms and policies, including privacy practices and data collection procedures, of any Third Party Websites or Third Party Content. Conduct any investigations you deem necessary or suitable before proceeding with any transactions.
5.4 Artificial Intelligence
Some features and tools within visuKnock utilize artificial intelligence (“AI”), including generative AI, to enrich your user experience. visuEats may collaborate with third party entities or employ third party large language models to develop and provide these services. We analyze the data you input and any resulting data to deliver visuKnock, enhance our products, ensure quality, troubleshoot issues, and for other purposes outlined in these Terms and our Privacy Policy.
When engaging with third party entities, we prohibit them from training their own models using personal or sensitive data provided to us, except in exceptional circumstances, where such scenarios undergo a thorough internal review and approval process. All content generated by these AI tools is offered on an “as-is” and “as-available” basis. visuEats does not guarantee the relevance, accuracy, or completeness of such content and disclaims liability for any damages or losses arising from your use of or reliance on such content.
5.5 Liability Limitations
Under no circumstances will visuEats, its officers, directors, employees, and agents be held liable to any user for any indirect, special, or other consequential damages, including, but not limited to, any injuries, illnesses, damages, lost profits or business interruption, arising from (i) your visit to a Merchant or customer, (ii) your use of visuKnock; or (iii) the compliance or non-compliance of a Merchant or customer in conjunction with visuKnock, whether based on tort, contract, or any other legal theory, even if visuEats has been advised of the possibility of such damages. visuEats, its officers, directors, employees, or agents will not be liable in the aggregate for any direct damages arising from visuKnock or Sites or claimed under these terms that exceed ten US dollars ($10).
5.6 Warranty
visuKnock, Sites, Third Party Content, and any other software, services, or applications provided in connection with visuKnock, are offered on an “as is,” “as available,” basis without any representations or warranties, whether express, implied, or statutory, including, but not limited to, regarding correctness, accuracy, reliability, or otherwise. visuEats hereby disclaims all warranties to the fullest extent permitted by applicable law, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or arising from a course of dealing, in relation to visuKnock. Knockers acknowledge and agree that their use of visuKnock and participation in delivery activities are at their own risk.
5.7 Dispute Resolution
- Arbitration: Any disputes arising under these Terms shall be resolved through arbitration in accordance with the rules of a Jamaican Arbitration Association.
- Governing Law: For all intents and purposes, these Terms will be governed and construed in accordance with the laws of Jamaica, without applying its conflicts of laws provisions that would mandate a different outcome.
Part 6: Copyright
visuEats acknowledges and upholds the intellectual property rights of others. As such, visuEats is committed to promptly addressing any claims of copyright infringement occurring on its Sites. If you suspect that visuEats or a third party utilizing visuKnock has infringed upon your intellectual property rights, including the display of potentially infringing materials on our Sites, kindly furnish the following details in writing to info@visuEats.com with the subject line “Intellectual Property Issue”:
- Direct link or access to the allegedly infringed copyrighted work(s), material(s) and their location(s) on the Sites.
- A statement asserting your good-faith belief that the use is unauthorized by the copyright owner, its agent, or the law.
- A statement, made under penalty of perjury, affirming the accuracy of the provided information and your authorization to act on behalf of the copyright owner.
- Your electronic or physical signature or that of your authorized representative.
- Your contact details, including address, telephone number, and email address.
visuEats reserves the right to request additional information and will exercise its sole discretion before taking appropriate action on allegedly infringing material. If visuEats does remove or disable access to such material, it will promptly notify the individual responsible for posting it, informing them of the action taken. Additionally, visuEats may provide the responsible party with your email address to facilitate their response to the allegations.
Part 7: Independent Contractor Relationship
7.1 Defined
The Knocker’s relation to visuEats is that of an independent contractor. Nothing in this Agreement is intended or should be construed to create a partnership, joint venture, or employer-employee relationship between visuEats and the Knocker. The Knocker will take no position with respect to or any application for benefits, or in any proceeding directly or indirectly involving visuEats, that is inconsistent with the Knocker being an independent contractor of visuEats. The Knocker is not the agent of visuEats and is not authorized and must not represent to any third party that the Knocker is authorized, to make any commitment or otherwise act on behalf of visuEats.
7.2 Scope of Services
The Knocker agrees to provide delivery services on behalf of visuEats for the transportation and delivery of items based on the customers’ request, to a designated location or address within the Knocker’s preselected zone. The items are to be delivered in the stipulated time given to the customer, in safe and sanitary transportation.
Knockers are to be well groomed. Your attire must be of a professional nature and in keeping with visuEats’ image.
Knockers also reserve the right to return the items if:
- There is violence in their path upon making a delivery or they deemed the are unsafe
- They visit the customer’s address and no one responds to collect the order within a reasonable time frame
7.3 Hours of Operation
The Knocker acknowledges and agrees that they are an independent contractor and not an employee of visuEats. The Knocker has full control over the choice of zone(s) and time to commence or stop receiving orders by logging out of visuKnock at any given time or pause their account. Knockers reserve the right to decline orders that are placed within their zone. Knockers are also expected to have either GPS turned on at all times, once they are active in visuKnock.
7.4 Subcontracting
The Knocker will not subcontract or otherwise delegate any of the Knocker’s obligations under this Agreement without visuEats express prior written consent on a case-by-case basis. Upon receipt of such consent, before allowing any subcontractor to begin performing services, the Knocker will enter into a binding written agreement with such subcontractor whereby the subcontractor agrees to be bound by the terms of this Agreement and that protects visuEats rights and interests to at least the same degree as the terms of this Agreement. The Knocker will be responsible for the direction and coordination of the services of each subcontractor. visuEats will have no obligation to pay any subcontractor.
7.3 Compensation
visuEats agrees to pay the Knocker the delivery commissions as outlined in section 3.2 above. The Knocker shall be solely responsible for all expenses incurred by the Knocker in connection with the performance of fulfilling each delivery order. Further, the Knocker shall be responsible for the payment of their respective personal withholding taxes, workers compensation, and/or insurance for conducting their independent contractor services.
It is expected that each Knocker opens a NCB LYNK account to facilitate the disbursements of their delivery commissions. Monies for each delivery will be accessible every Friday. The Knocker acknowledges that compensation may be subject to change at the discretion of visuEats.
7.4 Taxes
The Knocker shall be solely responsible for payment of all taxes, insurance, and other obligations as an independent contractor and agrees to do so in a timely manner.
7.5 Transportation and Expenses:
Knockers must have a reliable mode of transportation: motor car, motorbike bike, bicycle, or scooter. Motorcar and motorbike must be insured, licensed and registered in the same name. Knockers must also possess a valid driver’s licence.
The Knocker shall be fully responsible for providing and maintaining their own mode of transportation necessary to perform delivery services, including but not limited to a reliable mode of transportation, smartphone with GPS capability, warmer bag and any other tools or accessories required for safe and efficient delivery.
7.6 Insurance
The Knocker agrees to maintain adequate insurance coverage for the duration of this Agreement, including liability insurance for the operation of their vehicle and any other coverage required by law or as reasonably requested by visuEats.
7.7 Benefits and Contributions
The Knocker is not entitled to or eligible for any benefits that visuEats may make available to its employees, such as personal time off, sick leave, group insurance, profit-sharing, or retirement benefits. Because the Knocker is an independent contractor, visuEats will not withhold or make payments for NIS, NHT, any employment witholdings, make unemployment insurance or disability insurance contributions, or obtain workers’ compensation insurance on behalf of the Knocker. If, notwithstanding the foregoing, the Knocker is reclassified as an employee of visuEats, or any affiliate of visuEats, by the Tax Administration of Jamaica, the Jamaica Department of Labor, or any other federal or state or foreign agency as the result of any administrative or judicial proceeding, the Knocker agrees that the Knocker will not, as the result of such reclassification, be entitled to or eligible for, on either a prospective or a retrospective basis, any employee benefits under any plans or programs established or maintained by visuEats.
7.8 Compliance with Laws and Regulations
The Knocker shall comply with all applicable laws, regulation and ordinances governing the provision of delivery services, including but not limited to traffic law, safety regulation, and food handling guidelines. The Knocker will also comply with all applicable laws governing self-employed individuals, including laws requiring the payment of taxes, such as income and employment taxes, and NIS, NHT, disability, and other contributions.
7.9 Non-Disclosure and Confidentiality
The Knocker agrees to maintain the confidentiality of any proprietary information and trade secret disclosed by visuEats and shall not disclose such information to any third party without visuEats’s prior written consent.
7.10 Termination
Either party may terminate this Agreement at any time with or without notice to the other party. Upon termination, the Knocker will no longer have access to visuKnock and must not act or carry out any business under the disguise of visuEats.
7.11 Governance Law
This Agreement shall be governed by and construed in accordance with the law of Jamaica. Any dispute arising under or relating to this Agreement shall be resolved exclusively in the court of Jamiaca.
7.12 Entire Agreement
This Agreement constitutes the entire agreement with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understanding, whether written or oral.
